ENS Advertiser Centre – Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the ENS Advertiser Centre, a service provided by ENS (“we”, “us”, or “our”). By accessing or using the advertiser platform, you (“Advertiser”, “you”, or “your”) agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, do not use the service.


1. Eligibility

To use the ENS Advertiser Centre, you must:

  • Be at least 18 years old.

  • Be legally able and authorized to represent:

  • A business or organization, or

  • Yourself as an individual advertiser.

By creating or using an advertiser account, you confirm that you meet these eligibility requirements.


2. Account and Access

2.1 Account Responsibility

You are responsible for all activities that occur under your advertiser account. This includes actions taken by you, your employees, agents, or anyone else who accesses the account using your credentials.

2.2 Accurate Information

When registering or submitting ads, you agree to:

  • Provide accurate, current, and complete information.

  • Keep your information up to date (e.g., contact details, billing information, business details).

Providing false or misleading information may result in suspension or termination of your account.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login details (username, password, and any other security credentials). You agree to:

  • Not share your credentials with unauthorized persons.

  • Notify ENS immediately if you suspect any unauthorized access or use of your account.

ENS is not liable for any loss or damage arising from your failure to protect your account credentials.


3. Ad Content and Approval

3.1 Review and Approval

All advertisements submitted through the ENS Advertiser Centre are subject to review and approval by ENS before they are published. ENS may:

  • Approve your ad as submitted.

  • Request modifications.

  • Reject your ad.

Approval is at ENS’s sole discretion.

3.2 Right to Reject, Suspend, or Remove Ads

ENS reserves the right, at any time and without prior notice, to:

  • Reject any new advertisement.

  • Suspend or pause a running campaign.

  • Remove any advertisement already in circulation.

This may occur if an ad:

  • Violates these Terms.

  • Fails to meet ENS’s content or quality standards.

  • Is reported by users or third parties for potential violations.

3.3 Prohibited Ad Content

You are responsible for ensuring that your ads comply with all applicable laws and do not contain prohibited content. Your ads must not:

  • Contain misleading, false, or deceptive claims or representations.

  • Infringe on any copyrights, trademarks, or other intellectual property rights.

  • Promote or depict:

  • Illegal products or services.

  • Violence, hate speech, or discrimination.

  • Adult, sexually explicit, or otherwise inappropriate content.

  • Include:

  • Malware, viruses, or harmful code.

  • Malicious scripts or tracking mechanisms that violate user privacy.

  • Unsafe redirects or links to harmful or deceptive websites.

ENS may request proof of claims made in your ads (e.g., certifications, licenses, or approvals) and may remove ads that cannot be substantiated.


4. Ad Formats and Placement

4.1 Available Ad Formats

ENS offers multiple advertising formats, which may include:

  • Banner ads

  • Native ads

  • Pre-roll video ads

  • Popunders

  • Fullpage takeovers

  • Push notifications

The availability of specific formats may vary over time or by platform.

4.2 Placement and Delivery

ENS reserves the exclusive right to determine:

  • Where your ads appear across ENS platforms and partner properties.

  • The frequency with which your ads are shown.

  • The presentation, layout, and size of your ads.

While you may be able to specify targeting preferences (such as audience, location, or device), ENS does not guarantee any specific placement, position, or exposure level.


5. Payment and Billing

5.1 Pre-Payment Requirement

Unless otherwise agreed in writing, all advertising campaigns must be pre-paid. Your ads will not run, or may be paused, if there are insufficient funds in your account or campaign budget.

5.2 Payment Methods

Accepted payment methods may include:

  • Mobile Money

  • ENS Wallet

  • Other supported payment methods as indicated in the platform

You are responsible for any fees or charges imposed by your payment provider.

5.3 Non-Refundable Payments

All payments made to ENS for advertising services are non-refundable, except in the following case:

  • An ad fails to run solely due to an error or fault on ENS’s side.

In such cases, ENS may, at its discretion, issue a refund or credit your account. No refunds are provided for:

  • Partially delivered campaigns.

  • Performance below your expectations.

  • Account termination due to your violation of these Terms.


6. Campaign Performance and Reporting

6.1 Performance Metrics

ENS provides basic performance metrics for your campaigns, which may include:

  • Impressions (how many times your ad was displayed)

  • Clicks (how many times your ad was clicked)

  • Engagement data (such as views, interactions, or other relevant metrics)

These metrics are accessible through the ENS Advertiser Centre or via reports provided by ENS.

6.2 No Performance Guarantees

ENS does not guarantee:

  • Any specific number of impressions, clicks, or conversions.

  • Any particular level of performance or return on investment (ROI).

  • That your campaign will meet your marketing or business objectives.

Campaign results can vary based on many factors, including your ad content, targeting, budget, and market conditions.

6.3 Use of Performance Data

Performance data is provided for informational purposes only. You should:

  • Use it as one of several tools to evaluate your marketing efforts.

  • Not rely on it as the sole basis for business or financial decisions.

ENS is not responsible for any decisions or outcomes based on your interpretation or use of performance data.


7. Intellectual Property

7.1 Rights You Grant to ENS

By submitting ad materials (including text, images, videos, logos, and other creative assets), you grant ENS a non-exclusive, worldwide, royalty-free license to:

  • Display your ads on ENS platforms and partner properties.

  • Reproduce, distribute, and transmit your ads as necessary to deliver your campaign.

  • Use your ads for operational purposes related to campaign delivery and reporting.

This license is valid for the duration of your campaign and for a reasonable period thereafter for backup, reporting, and record-keeping.

You confirm that you have all necessary rights, licenses, and permissions to grant this license to ENS.

7.2 ENS Intellectual Property

ENS retains all rights, title, and interest in and to:

  • The ENS brand, trademarks, and logos.

  • The ENS Advertiser Centre platform and user interface.

  • All underlying technology, software, and advertising infrastructure.

You may not:

  • Copy, modify, reverse engineer, or attempt to extract source code from the platform.

  • Use ENS trademarks or branding without prior written permission.


8. Limitation of Liability

To the maximum extent permitted by law, ENS shall not be liable for:

  • Any direct, indirect, incidental, consequential, or special damages, including loss of revenue, profits, data, or business opportunities, arising from:

  • Ad performance or lack of performance.

  • Platform downtime, interruptions, or delays.

  • User interactions with your ads or website.

  • Content submitted by third-party advertisers, including any inaccuracies, illegalities, or policy violations in their ads.

  • Technical issues outside of ENS’s control, such as:

  • Third-party service outages (e.g., hosting providers, payment processors, network providers).

  • Browser or device compatibility issues.

  • Force majeure events (e.g., natural disasters, strikes, or other events beyond ENS’s reasonable control).

Your sole and exclusive remedy for any issue with the service is to stop using the ENS Advertiser Centre.


9. Termination

9.1 Termination by ENS

ENS reserves the right to terminate or suspend your advertiser account, campaign, or access to the platform at any time, with or without prior notice, if:

  • You violate these Terms.

  • You violate applicable laws or regulations.

  • Your ads pose a risk to ENS’s reputation, users, or systems.

  • ENS is required to do so by law or regulatory authorities.

In such cases, ENS is not obligated to refund any amounts already paid.

9.2 Termination by You

You may stop advertising or close your advertiser account at any time by:

  • Pausing or ending your campaigns.

  • Requesting account closure through ENS support (where available).

However:

  • No refunds will be issued for partially served or remaining campaign budgets, unless otherwise required by law or explicitly agreed in writing by ENS.


10. Changes to Terms

ENS may update or modify these Terms from time to time. When changes are made:

  • ENS will communicate updates via the platform and/or email.

  • The updated Terms will take effect from the date they are published or as otherwise stated.

By continuing to use the ENS Advertiser Centre after changes are published, you agree to be bound by the updated Terms. If you do not agree with the changes, you must stop using the service.


11. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Uganda.

Any disputes, claims, or legal proceedings arising out of or related to these Terms or your use of the ENS Advertiser Centre shall be resolved under the jurisdiction of the courts of Uganda.
